SHA Adopts Amended Bylaws: A Modern Foundation for Our Future

We are pleased to announce that following a year-long initiative to build a more inclusive and representative framework for our members, the Sacramento Hotel Association has officially adopted a comprehensive set of updated bylaws, effective May 14, 2026.

While our previous bylaws served us for over thirty years, this modernization provides the structure and flexibility needed to best represent the industry in today’s hospitality landscape, while ensuring compliance with current California association law.

Key Enhancements at a Glance

  • Operational Agility: We have removed rigid term limits to retain experienced leadership, modernized our rules surrounding board composition, meeting formats, and other provisions allowing SHA the flexibility to develop and implement policies without amending the bylaws.
  • Expanded Advocacy & Protection: The bylaws now expressly allow for lobbying and political activity to better represent your interests.
  • Legal Compliance: Every provision—from quorum requirements to board composition—has been updated to align with the California Corporations Code, providing better protection for our directors, officers, and members.

A Unified Vision

The path to this milestone was deliberate. Following collaboration with our association counsel—and seven drafts later—the SHA Board of Directors voted unanimously to advance the new bylaws. The subsequent ratification by our membership was met with overwhelming support, signaling a clear mandate to move forward with this professionalized and legally sound structure.

This is more than an administrative update; it reflects an association that takes its responsibility to the broader hospitality community seriously. We are now better positioned than ever to support where our industry is headed.
